Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website at squaredagents.com and the AI-powered automation platform and related services (collectively, the "Services") provided by Squared Agents, Inc. ("Squared Agents," "we," "our," or "us"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into a binding agreement to use the Services. If you are using the Services on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Account Registration

To access certain features of the Services, you must create an account. You agree to:

  • Provide accurate and complete information during registration.
  • Keep your login credentials confidential and not share them with others.
  • Notify us immediately if you suspect unauthorized access to your account.
  • Take responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we believe have been compromised.

3. Subscription and Billing

Access to the platform requires a paid subscription. By subscribing, you authorize us to charge your chosen payment method on a recurring monthly basis at the price in effect at the time of your subscription.

  • Plan changes: Upgrades take effect immediately. Downgrades apply at the start of the next billing cycle.
  • Cancellation: You may cancel at any time. Access continues through the end of your paid period. No partial-month refunds are issued unless required by applicable law.
  • Price changes: We will provide at least 30 days' notice before changing subscription prices. Continued use after the effective date constitutes acceptance of the new price.

4. Acceptable Use

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services to send unsolicited communications or violate TCPA, CAN-SPAM, or other applicable anti-spam laws.
  • Upload or process contact data for which you lack proper consent.
  • Attempt to gain unauthorized access to any part of the Services or other users' accounts.
  • Reverse engineer, decompile, or attempt to extract the source code of any part of the platform.
  • Use the Services to harass, threaten, or harm any individual.
  • Circumvent any rate limits, security measures, or access controls.
  • Resell or sublicense the Services without our prior written consent.

We may suspend or terminate your account if we determine, in our sole discretion, that you have violated these acceptable use standards.

5. Your Data

You retain ownership of all data, contacts, and content you upload or generate through the Services ("Customer Data"). By using the Services, you grant us a limited license to process and store your Customer Data solely to provide and improve the Services.

You are solely responsible for ensuring that your Customer Data complies with all applicable laws, including obtaining necessary consents for outbound communications. We do not use your Customer Data to train our AI models.

6. Intellectual Property

Squared Agents and its licensors retain all rights to the platform, software, algorithms, designs, and related intellectual property. Nothing in these Terms transfers any ownership interest in the Services to you. You are granted a limited, non-exclusive, non-transferable license to use the Services during your subscription term.

Any feedback, suggestions, or ideas you provide to us may be used by Squared Agents without restriction or compensation to you.

7. Third-Party Integrations

The Services integrate with third-party platforms (e.g., CRMs, calendars, MLS feeds, ad platforms). Your use of those integrations is subject to the respective third party's terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of any third-party service.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

We make no guarantees regarding specific business outcomes, lead conversion rates, transaction volumes, or revenue increases resulting from use of the Services.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SQUARED AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Squared Agents and its officers, directors, employees, and agents from any claims, damages, losses, or costs (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) any content or data you submit through the Services.

11. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access to the Services immediately and without notice if you breach these Terms, fail to pay amounts owed, or if we are required to do so by law.

Upon termination, your right to use the Services ceases immediately. We will retain your data for 30 days following termination, after which it will be deleted in accordance with our data retention policies. You may request an export of your data before this window closes.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising under these Terms shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Miami, Florida, under the rules of the American Arbitration Association, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction.

13. Changes to These Terms

We may modify these Terms from time to time. We will post the updated Terms on this page and revise the "Last updated" date. For material changes, we will provide at least 14 days' advance notice by email. Your continued use of the Services after the effective date of any change constitutes your acceptance of the revised Terms.
